CONSTITUTION

As ammended at the Annual General Meeting of the Club held on 12th of May, 2003.

Name
  1. The name shall be "Sydney University Touch Club", hereinafter referred to as "the Club".
Objects
  1. The Objects of the Club shall be:
    1. to encourage, foster, promote, develop, extend, and govern Touch within the University.
    2. to subscribe to become a member of or co-operate with any other association or associations whose objects are altogether or in part similar to those of the Club.
    3. to arrange AUC contests.
Membership
  1. All members of "Sydney University Sport", hereinafter referred to as "SU Sport", shall be eligible for membership of the Club. The Club may collect a nominal fee to assist in the running of the Club’s activities.
  2. No one other than a member of SU Sport may be a member of the Club.
  3. Any member of SU Sport completing the prescribed membership form of the Club and handing it in at the SU Sport Office shall thereby become a member of the Club.
  4. Any member may resign from the Club by giving notice of their resignation in writing to the Honorary Secretary. Such resignation shall take effect from the date of receipt of such notice by the Honorary Secretary.
Office Bearers and Committee
  1. The Office Bearers of the Club and members of the Committee shall be elected annually by members of the Club at the Annual General Meeting of the Club. Only members of the Club shall be eligible to be members of the Committee of the Club except that Associate Members of SU Sport shall not be eligible to hold office in the Club.
  2. The Office Bearers shall be:
    1. President
    2. Vice President(s)
    3. Honorary Secretary
    4. Honorary Treasurer
  3. There must be a MINIMUM of 30% representation of each gender in the Office Bearer group.
Control and Management
  1. The control and management of the Club shall be vested in a Committee consisting of the Office Bearers of the Club and two other members of the Club who shall be elected at the Annual General Meeting and shall be students attending lectures at the University, one of whom shall be a first year student. The President and the Director of SU Sport shall be ex-officio members of the Committee of the Club but they shall have no right to vote at any meeting of any such Committee by virtue only of such office.
  2. There must be a MINIMUM of 30% representation of each gender in the remainder of the Committee.
  3. The Committee shall appoint such delegate or delegates to represent the Club as may be required with powers as it may think fit, including especially but not exclusively, the delegates to SU Sport General Committee under the conditions provided in the Constitution of SU Sport.
  4. Within fourteen (14) days of the election or appointment of any Office Bearer or Committee Member of the Club, the Honorary Secretary shall forward to the Director of SU Sport the name, address and telephone number of such office bearer or member.
  5. No person shall fill more than one place on the Committee at any one time.
  6. A quorum of this Committee shall be three (3). If no quorum be present within fifteen (15) minutes of the notified time of the meeting, such meeting shall lapse.
  7. The President shall be entitled to take the Chair at all meetings of the Committee. In their absence or unwillingness to act, a Vice President shall take the Chair and if all are absent or unwilling to act, the members of the Committee present shall choose a Chairperson from among their number.
  8. The Committee may delegate any of its powers to such Sub-Committee as it may think fit for such time as it may think fit.
  9. The Honorary Secretary shall convene a meeting of the Committee at least once during each University semester.
  10. Notice of all meetings of the Committee shall be given to all members of the Committee by the Honorary Secretary at least three (3) days before such meeting.
  11. The Honorary Secretary upon request of two (2) members of the Committee shall or on their own initiative may convene a meeting of the Committee.
  12. No person who is not a member of the Committee shall be entitled to be present at a meeting thereof UNLESS invited to attend by the Chairperson.
  13. The Committee may declare vacant the seat of any member thereon who has been absent without valid excuse from two (2) consecutive meetings of the Committee.
  14. Any casual vacancies that happen to arise within an Office Bearers position, another member of the Club Committee shall fill that position.
  15. Minutes of every meeting of the Committee shall be kept by the Honorary Secretary and signed by the Chairman of the next succeeding meeting.
  16. The Committee shall have no power to control spend or in any way deal with the funds of SU Sport except in manner set forth in SU Sport’s Constitution. Funds raised by the Committee or by any member of the Club for a special object must be handed over to the SU Sport Treasurer to be held in trust for that object.
  17. The Committee shall appoint such delegate or delegates to represent the Club as may be required with such powers as it may think fit, including especially but not exclusively:
    1. the delegates to the SU Sport General Committee under the conditions provided in the Constitution of SU Sport; All such delegates shall submit to the Committee a report of each meeting which they attend at the next meeting of the Committee following such meeting.
  18. Every resolution of the Committee shall be binding on all members of the Club.
General Meetings
  1. General Meetings shall be held at a time and place to be determined by the Committee, subject to Clause 26.
  2. The Annual General Meeting shall be held at least twenty-one (21) days before the Annual General Meeting of SU Sport. The business of this meeting shall include:
    1. the receiving of the Committee’s Annual Report, Statement of Accounts, and Balance Sheet.
    2. the election of Office Bearers.
    3. the transaction of such other business as may be properly transacted at a General Meeting.
    If there is no quorum at the Annual General Meeting the meeting may be held up to six months following the date for which the Annual General Meeting was originally convened. If there is no quorum at that meeting, the Club shall be deemed to be inactive and liable to be disaffiliated by the Management Committee of SU Sport. In all cases the Honorary Secretary or Convenor shall inform the Director of SU Sport in writing of the outcome.
    Within fourteen days of the Annual General Meeting of the Club, the Honorary Secretary shall give written advice to the Director of SU Sport of the following:
    1. the date of the Annual General Meeting.
    2. the result of any elections held at the meeting.
    3. the names, addresses, faculties and telephone numbers of its members.
  3. The Committee may whenever it thinks fit convene a Special General Meeting.
  4. The Committee shall on receipt of a requisition made in writing stating the objects of the meeting proposed to be called and signed by not less than ten members of the Club convene a Special General Meeting within twenty one (21) days of the date of receipt of such requisition by the Secretary.
  5. Notice of the Annual and of every General Meeting shall be given at least seven days before such meeting on the official Club noticeboards and where practicable in University publications and shall include the general nature of the business to be brought before such meeting.
  6. Ten (10) members personally present shall be a quorum for a General Meeting. If within fifteen (15) minutes from the time appointed for the meeting a quorum is not present the meeting shall lapse.
  7. The President shall be entitled to take the chair at all General Meetings of the Club. In their absence or unwillingness to act a Vice President shall take the Chair and if all are absent or unwilling to act, the members of the Committee present shall choose a Chairperson from among their number.
  8. No person shall be competent to vote at any General Meeting unless a member of the Club.
  9. Minutes of the proceedings of every General Meeting shall be kept by the Honorary Secretary and signed by the Chairman of the next succeeding meeting.
  10. The Honorary Secretary of the Club shall submit to the Director of SU Sport the Club’s Minute Book after writing the minutes of each General Meeting of the Club before the last day of the vacation following the semester in which the General Meeting was held.
Duties of Office Bearers
  1. Honorary Secretary
    1. The Honorary Secretary shall keep a faithful record book of the business transacted at all meetings.
    2. They shall keep a copy of the Constitution and all by-laws made there under for the time being in force.
    3. They shall keep a list of the names and addresses of all members.
    4. They shall present a report to the Annual General Meeting and perform all secretarial duties imposed on them by the members and will be generally responsible for the proper performance of all duties of Club members.
  2. Honorary Treasurer
    1. The Treasurers shall receive and disburse the monies of the Club as authorised by the members.
    2. They shall keep correct accounts of all such transactions and shall lodge in the Club’s Trust Fund all monies received and shall present a report and balance sheet to the Annual General Meeting.
General
  1. Every member of the Club shall be entitled to peruse a copy of this Constitution and all rules, regulations and by-laws promulgated hereunder for the time being in force, copies of which shall at all times be available from the Honorary Secretary.
  2. The Constitution of this Club shall not be amended UNLESS:
    1. the amendment shall be passed by 2/3 of the members of the Club present and voting at a General Meeting.
    2. Notice of intention to move the amendment shall be received by the Honorary Secretary at least fourteen (14) days prior to the date of such meeting in which case notice shall be given in the notice convening the meeting.
    3. the amendment shall be subsequently approved by SU Sport Committee.
